1. Introduction
Â
This End User License Agreement (“Agreement”) is entered into between [Eco Sure Compliance], a company incorporated under the laws of India, with its principal place of business at Hyderabad (“Provider”), and the company or entity (“Licensee”) that accepts these terms. This Agreement governs the use of EPR credits provided by the Provider to the Licensee.

2. Definitions
Â
EPR Credits: Environmental performance credits related to the management and reduction of materials like plastic, battery, tire, e-waste, used oil, and glass paper.
Â
Licensee: Any company or entity that produces, uses, imports, or deals with specified materials and receives EPR credits from the Provider.
Provider: Eco Sure Compliance, responsible for issuing EPR credits.

3. License Grant
Â
Subject to the terms of this Agreement, the Provider grants the Licensee a non-exclusive, non-transferable license to use the EPR credits provided by the Provider for the purpose of complying with Extended Producer Responsibility regulations.

4. Licensee Responsibilities
Â
The Licensee agrees to:
– Use the EPR credits solely for compliance with applicable EPR regulations.
– Maintain accurate records of all EPR credit transactions and report these to the Provider as required.
– Ensure that any information provided to the Provider for the purposes of EPR credit allocation is accurate and complete.

5. Provider Responsibilities
Â
The Provider agrees to:
– Allocate EPR credits to the Licensee based on agreed metrics and compliance measures.
– Provide guidance and support related to compliance with EPR frameworks.
– Maintain accurate records of EPR credits issued to the Licensee.

6. Compliance with Laws
Â
Each party shall comply with all applicable laws and regulations regarding the production, use, importation, and disposal of covered materials.

7. Confidentiality
Â
Both parties agree to keep confidential any proprietary or confidential information received from the other party in connection with this Agreement and use such information only for purposes of the Agreement.

8. Term and Termination
Â
– This Agreement shall commence on the date accepted by the Licensee and shall continue until terminated by either party upon notice.
– Either party may terminate this Agreement for any reason by providing 30 days written notice to the other party.
– Upon termination, the Licensee shall cease using any remaining EPR credits and remove any references to the Provider’s EPR system.

9. Limitation of Liability
Â
To the maximum extent permitted by law, the Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, incurred by the Licensee, whether in an action in contract or tort, arising from the Licensee’s use of EPR credits or any other aspect of this Agreement.

10. Amendments
Â
This Agreement may be amended or modified only by a written agreement signed by both parties.

11. Governing Law
Â
This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.

12. Dispute Resolution

Any disputes arising under this Agreement shall be resolved through negotiation between the parties. If a resolution cannot be reached, the dispute shall be submitted to arbitration under the rules of [Arbitration Body].

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
